Agreement to terms

By accessing or using diginnovators.com (“the Site”) or any product or service we provide, you confirm that you have read, understood, and agreed to be bound by these Terms & Conditions. If you do not agree, please do not use the Site or services.

Where a separate signed agreement (master services agreement, statement of work, NDA) exists between you and Diginnovators, that agreement governs the relationship for the work it covers. These Terms govern everything else.

Definitions

“Diginnovators”, “we”, “our”, or “us” means Diginnovators Solutions Pvt. Ltd., a company incorporated in India. “You” or “your” means the person or entity accessing the Site or receiving the services. “Services” means consulting, design, engineering, marketing, support, and other professional services we provide to clients. “Content” means any text, images, code, designs, or other materials available through the Site or produced under an engagement.

Use of our services

You agree to use the Site and Services only for lawful purposes and in a manner that does not infringe the rights of, or restrict the use of, anyone else. You will not attempt to reverse-engineer our work product, distribute malicious code, attempt to gain unauthorised access to our systems, or use the Site to harass or deceive others.

Client engagements

Each client engagement is governed by a separate Statement of Work (SOW) or Master Services Agreement (MSA) that sets out scope, deliverables, timeline, pricing, and other commercial terms. Where this SOW/MSA conflicts with these Terms, the SOW/MSA prevails for that engagement.

User-submitted content

If you submit content to us — through the contact form, a project brief, a file upload, or otherwise — you confirm that you own or have permission to share that content. You grant us a limited, non-exclusive licence to use it solely for the purpose of responding to your enquiry or delivering the services. We will keep it confidential and will not use it for any other purpose without your permission.

Data retention

We keep personal information only as long as we need it to fulfil the purposes for which it was collected, or to meet a legal obligation. Contact-form messages are retained for up to 24 months. Candidate data is retained for 12 months after the conclusion of a hiring process unless you ask us to keep it longer. Engagement and contract records are retained as required by applicable accounting and tax laws.

Intellectual property

All content on the Site — including the Diginnovators name, logos, copy, design system, and case studies — is the property of Diginnovators or its licensors, protected by copyright and trademark laws. You may not copy, reproduce, distribute, or create derivative works without our written permission, except as permitted by fair-use principles for commentary or reference.

Ownership of deliverables produced under a client engagement is set out in the relevant SOW. Generally we transfer ownership of bespoke deliverables to you on full payment, while retaining ownership of any pre-existing tools, frameworks, and components we used to build them.

Fees, taxes & invoicing

Fees and payment terms for each engagement are set out in its SOW. Unless otherwise agreed, invoices are payable within 15 days of issue and are denominated in the currency stated on the invoice. Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower. All fees are exclusive of applicable taxes, duties, and levies, which are payable in addition.

Warranties & disclaimers

We provide our Services with reasonable care and skill, using qualified professionals. The Site and any content on it is provided “as is” and “as available” — we do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

Limitation of liability

To the maximum extent permitted by law, Diginnovators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, even if we have been advised of the possibility of such damages. Our total cumulative liability for any claim arising out of or relating to the Services will not exceed the fees paid by you for the specific Service to which the claim relates in the twelve months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Diginnovators, its officers, employees, and contractors against any claims, damages, costs, or losses arising from your breach of these Terms, your misuse of the Site or Services, or your violation of any third-party right.

Suspension & termination

We may suspend or terminate your access to the Site or any Service immediately if you breach these Terms, fail to pay invoices when due, or use the Services in a way that exposes us to legal or reputational harm. Termination of an engagement is otherwise governed by the relevant SOW.

Governing law

These Terms are governed by the laws of India. Any dispute arising in connection with these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India. The parties will attempt in good faith to resolve any dispute through direct discussion before initiating formal proceedings.

Changes to these terms

We may update these Terms from time to time. The “Last updated” date at the top of this page indicates when. Material changes will be highlighted on the Site. Continued use of the Site or Services after a change indicates your acceptance of the updated Terms.
